Terms of Service

Trading involves substantial risk of loss. Please read our Risk Disclosure together with these Terms. By buying or using our Products you accept both.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and [Legal Business Name], doing business as Unplug Trading ("Unplug Trading", "we", "us"). They govern your use of our website [domain] and of our software products, including Blockprint and the Trade Copier, together with their documentation and updates (the "Products").
By purchasing, downloading, installing or using a Product, or by using the website, you agree to these Terms. If you do not agree, do not use the Products. You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract.
2. What we provide
We provide software tools for use with the NinjaTrader 8 platform. We are a software provider only. We are not a broker, futures commission merchant, introducing broker, commodity trading advisor or investment adviser. We do not hold customer funds, place trades for you, manage accounts or give personalized recommendations.
NinjaTrader is a trademark of its respective owner. Unless we state otherwise in writing, we are not affiliated with or endorsed by NinjaTrader.
3. No investment advice
Everything we publish or display, including indicator signals, entry levels, recommended stops and targets, tracked results, examples and educational material, is general information and analytical tooling. It is not investment, financial, legal or tax advice, and it is not a recommendation to buy or sell anything. You are solely responsible for every trading decision you make and its outcome.
4. License
Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Product you purchased, for your own personal trading, on the number of computers and accounts permitted by your plan. The Products are licensed, not sold. We keep all rights not expressly granted.
If you buy a specific edition (for example the Local, LAN or Internet edition of the Trade Copier) you may use only the features of that edition.
You may not:
- copy, redistribute, share, resell, rent, lease, lend or sublicense a Product or its license key;
- reverse engineer, decompile, disassemble, deobfuscate or otherwise try to obtain source code, logic, algorithms or parameters of a Product, except where the law expressly allows it despite this restriction;
- modify a Product, create derivative works, or use it to build a competing product or service;
- bypass, disable or tamper with licensing, protection or activation mechanisms, or use a license on machines or accounts beyond your plan;
- remove proprietary notices, or use a Product in violation of any law, exchange, broker or prop firm rule.
Violating this section may result in immediate termination of your license without refund, and we may seek all remedies available under law.
5. Accounts and license keys
You must provide accurate information when you buy. Keep your license keys and login details confidential. You are responsible for everything done with your license. Tell us immediately if you suspect it has been shared or stolen. We may suspend or revoke licenses that appear to be shared, resold or used outside the plan.
6. Fees, billing and renewals
- Prices are shown in US dollars and exclude taxes, which you are responsible for where applicable.
- Subscriptions renew automatically at the end of each billing period (for example monthly) until you cancel. By subscribing you authorize us and our payment processor to charge your payment method on each renewal.
- You can cancel at any time. Cancellation takes effect at the end of the current paid period. We do not give partial-period credits.
- We may change prices with advance notice. The new price applies from your next renewal.
- If a payment fails, we may suspend or revoke your license until it is resolved. Opening a payment dispute or chargeback in place of contacting us may result in termination of your license.
7. Refunds and cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy, which is part of these Terms. Because our Products are digital software delivered immediately, fees are non-refundable except as that policy states or as the law requires.
8. Third-party platforms and services
Our Products run on and depend on third-party platforms and services that we do not control, including NinjaTrader, brokers, data providers, prop firms, Microsoft Windows, your hardware and your internet connection. We are not responsible for outages, data errors, order rejections, platform changes or updates that affect or break a Product, or for the terms and fees of those third parties. You must hold any license, data subscription or brokerage account needed to use them.
9. Additional terms: Trade Copier
- The Trade Copier automates the replication of orders and positions between accounts. Delays, slippage, partial fills, rejected orders, disconnections and mismatched or duplicated positions can occur. You must monitor your accounts while it runs and test every configuration on a simulated account first.
- You are responsible for all settings, including multipliers, contract limits, daily limits and which accounts are master or slave. Safety features are aids only and can fail.
- Prop firm and broker rules. Many firms and brokers restrict or prohibit copy trading. You are solely responsible for confirming that your use is allowed. We are not responsible for suspended accounts, lost payouts or any penalty resulting from your use of the Trade Copier.
- Network editions. If you use the LAN or Internet editions, you are responsible for securing your tokens, firewall, IP allow-lists and network. We recommend using a private VPN rather than exposing ports to the internet. We are not liable for unauthorized access caused by weak tokens, misconfiguration or exposed ports.
10. Additional terms: Blockprint
- Blockprint displays recommended entry, stop and target levels and tracks the outcome of the setups it draws. Levels are suggestions, to be used at your own discretion. Outcomes shown are hypothetical, informational and not a prediction of future results.
- Blockprint does not place orders for you.
11. Additional terms: Unplug Risk Reward and Unplug Risk Manager
- These tools can calculate position size, send stop-loss and take-profit orders, move stops (break-even and trailing), and block new entries or close positions, according to the settings you choose and on the account selected in Chart Trader. You are responsible for every setting and for the account you select.
- Orders can be delayed, rejected, partially filled or not sent because of platform, connection, broker or exchange conditions. Safeguards and daily limits are aids only and can fail. You must monitor your trades while the tools run.
- Unplug Risk Reward does not place your entry orders. Orders sent from the Unplug Risk Manager panel are placed only when you use its buttons.
- Many firms and brokers restrict automated order tools. You are solely responsible for confirming that your use is allowed.
12. 1-on-1 coaching sessions
Coaching sessions included with a plan help you install, set up and learn to use our tools. They cover how the software works. They are not investment advice, signals or a recommendation to trade, and they do not guarantee any result. We may schedule, limit or change sessions as described when you purchase.
13. Updates, support and availability
We may update, change or discontinue any Product or feature at any time. We provide support on a reasonable-efforts basis, with no guaranteed response time. We do not guarantee compatibility with future versions of third-party platforms.
14. Intellectual property
The Products, their code, design, documentation, names, logos and trademarks, including "Unplug Trading", "Blockprint" and "Trade Copier", are owned by us or our licensors and protected by intellectual property laws. These Terms give you no ownership of them. If you send us feedback or suggestions, you allow us to use them freely without obligation to you.
15. Disclaimer of warranties
The Products and the website are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that any Product will produce any particular result, that it will be free of bugs, or that it will meet your needs. We make no promise of profit.
16. Limitation of liability
To the fullest extent permitted by law, Unplug Trading and its owners, officers, employees, contractors and affiliates are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any trading losses, lost profits, lost data, lost or closed trading accounts, lost payouts, or business interruption, arising from or related to the Products or these Terms, even if we were told such damage was possible. Our total liability for all claims is limited to the amount you paid us for the Product in the 12 months before the claim arose, or US$100 if you paid nothing.
Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the maximum extent the law allows.
17. Indemnification
You agree to defend and indemnify Unplug Trading and its owners, employees and affiliates against claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use of the Products, your trading, your breach of these Terms, or your violation of any law or third-party rule, including the rules of any broker or prop firm.
18. Termination
You can stop using a Product at any time. We may suspend or terminate your license immediately if you breach these Terms, fail to pay, or we reasonably suspect piracy or misuse. On termination your license ends and you must stop using and uninstall the Product. Sections that by their nature should survive termination will survive, including license restrictions, intellectual property, disclaimers, limitation of liability, indemnification and governing law.
19. Governing law and disputes
These Terms are governed by the laws of [State / Country], without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. [Choose with your lawyer: binding individual arbitration under stated rules, or exclusive courts in a named location.] To the extent the law allows, claims must be brought individually and not as a class or representative action.
20. Changes to these Terms
We may update these Terms from time to time. We will post the new version with a new "Last updated" date, and for material changes we will take reasonable steps to notify you. Continuing to use a Product after the update means you accept it.
21. General
These Terms, together with the Risk Disclosure and Privacy Policy, are the entire agreement between you and us about the Products. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale. We are not liable for delays or failures caused by events beyond our reasonable control. You agree to receive notices from us electronically.
